SEC and Regulatory Filings
Form 5
An annual insider filing used to report certain transactions that were not reported earlier on Form 4.
Also called: annual insider filing
What it means
Form 5 is used by certain insiders to report transactions or holdings that were not required to be reported earlier on Form 4, or that qualified for deferred reporting. It acts as a year-end catch-up filing in some situations.
Why it matters
It helps users understand that not all insider ownership changes appear immediately in Form 4 filings.
